1. Acceptance of Terms

By creating an account and using PracticeStrategy, you agree to these Terms of Service and our Privacy Policy. If you do not agree to these terms, do not use the platform. These terms apply to all users including medical practices, healthcare vendors, and enterprise organizations.

2. Description of Service

PracticeStrategy is an AI-powered vendor evaluation platform that helps medical practices, healthcare vendors, and enterprise organizations (ACOs, MSOs, and similar networks) manage vendor relationships, evaluate proposals, and make informed purchasing decisions. The platform includes AI scoring, vendor matching, proposal management, analytics, and scheduling tools.

3. User Accounts

•You must provide accurate, complete, and current information when creating your account

•You are responsible for maintaining the security of your account credentials

•One account per person or organization — shared accounts are not permitted

•You must be at least 18 years old and authorized to represent your organization

•Notify us immediately at legal@practicestrategy.io if you suspect unauthorized account access

4. Acceptable Use

Users of PracticeStrategy may NOT:

•Submit false, misleading, or fraudulent information on proposals or profiles

•Attempt to access, view, or modify other users' data without authorization

•Use the platform for spam or unsolicited outreach outside the platform's intended proposal system

•Reverse engineer, copy, scrape, or reproduce any part of the platform

•Use automated tools or bots to interact with the platform

•Violate any applicable local, state, federal, or international laws

5. Subscriptions and Payments

•Subscriptions automatically renew monthly unless cancelled before the renewal date

•Tokens are non-refundable once used to unlock a match or feature

•Unused tokens do not expire and remain in your account indefinitely

•Cancellation takes effect at the end of your current billing period — you retain access until then

•Refunds are available at our discretion within 7 days of an initial purchase if the service was not used

•All payments are processed by Stripe and subject to their terms of service

6. AI Analysis Disclaimer

AI scores and recommendations are for informational purposes only.

PracticeStrategy uses AI to analyze vendor proposals and generate match scores. These outputs are designed to assist your decision-making process, not replace professional judgment or due diligence. We do not guarantee the accuracy, completeness, or fitness for a particular purpose of any AI-generated analysis. Users should conduct their own independent evaluation before entering any vendor contract or business relationship.

7. Intellectual Property

•The PracticeStrategy platform, design, software, and all proprietary content are owned by Legacy Medical Solutions LLC and NXT LVL Consulting Group LLC

•Users retain ownership of their own profile data, proposals, and submitted content

•By submitting content to PracticeStrategy, you grant us a limited, non-exclusive license to use that content solely for the purpose of providing the service (e.g., AI analysis, matching)

•You may not use our trademarks, logos, or brand assets without written permission

8. Limitation of Liability

To the maximum extent permitted by applicable law, PracticeStrategy, Legacy Medical Solutions LLC, and NXT LVL Consulting Group LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, the platform. Our total aggregate liability to you for any claims arising under these terms shall not exceed the total amount you paid us in the twelve (12) months preceding the claim.

9. Termination

•We reserve the right to suspend or terminate accounts that violate these Terms of Service, at our sole discretion and without prior notice

•You may cancel your account at any time from your account settings or by contacting support

•Upon termination, your data is retained for 90 days to allow for export, then permanently deleted

•Sections covering intellectual property, limitation of liability, and governing law survive termination

10. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any disputes arising under or in connection with these terms shall be resolved by binding arbitration conducted in Miami, Florida, in accordance with the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.
